Time for the #contract term of the day, and you are getting another one because time is of the essence was a duplicate this week (oops)! Let's do "consequential damages."
The general rule in business transactions concerning breach of contract is that a party is only responsible for the damages that would normally or ordinarily flow from a breach of contract and is not responsible for damages under “special circumstances.” The damages that would normally be expected are commonly referred to as “direct damages,” i.e., those damages that anyone would reasonably expect to occur for the type of contract or agreement that was entered into. As a consultant or contractor, YOU will only earn a fixed amount of profit, and the possibility of consequential damages would not only wipe out any profit that you can ever make on that project, it puts your business/personal assets on the line and *might* not be insurable.

Time for the #contract term of the day! Let's do "time is of the essence."
“Time is of the essence” is a legal term of art that *removes* the element of "reasonability" from the issue of schedule, delivery, and performance schedules and can be read to require absolute compliance with no deviation. This makes your schedule more like a guarantee rather than an agreement that you'll deliver absent intervening causes, like weather, supply chain interruptions, etc.
If that term is NOT in there, it just means that the completion times / schedules are within a “reasonable” amount of time of the date stated.
If it IS in there, and you miss a deadline, even if it isn't really your fault, you could be looking at strict liability - which means you're subject to paying penalties or damages regardless of the reason for the delay. This is not great, and it can even be outside of your insurance coverage if you are a service provider!
So don't do this. Say that the schedule is important, that you'll deliver on the timeline unless there is a delay that you didn't caused, say anything else! Just not "time is of the essence."

The modular #tomato cages arrived this morning. I think I like these better than the full size stakes. I don’t always need a 5’ tall cage or trellis, so this lets me spread them out however I want. These are full height because the tomatoes will need that, but not everything does. #grownostr #backyardgarden

Ok I’m back! Tons and tons of travel. Just got back from a visit to #GalacticStarcruiser in Orlando, Florida. I need to write a long post about it but it was a pretty fantastic experience. I know Disney has issues, but this was interactive entertainment done right. More to come.
Happy to report the #garden survived just fine without me for 10 days, even with some hot weather, thanks to our drip system on the timer. The tomatillos look happier than the tomatoes, but that seems to be typical for my yard. Also got some great growth on the pumpkins.

Indemnity is an obligation you can have just via common law, but it is also a contractual provision that safeguards one party from financial loss or damage caused by another party. It involves compensating the harmed party for expenses, losses, or liabilities incurred due to the responsible party's actions or omissions. You see indemnity provisions in contracts such as leases, construction or design agreements, employment agreements, and insurance policies. Enforceability may vary depending what state law applies.
Why do you care? If you enter into a contract with someone, and something you do causes them damage, it is your job to “make them whole.” But it can get a little crazy – many provisions include the term “defend” and indemnity. What does that mean? If your client / the other person gets sued and it is related to something you did under your contract, YOU have to pay for their lawyers, and yours! What? Right, I know, scary. Scary expensive. If you have good Commercial General Liability insurance, you’re covered. If you are working under a professional liability insurance policy, you are NOT covered for this “up front” defense – so it would be good to have a chat with your insurance person and see when and if you are covered for this.
If you don’t have insurance, YIKES. Lawyers are expensive. Don’t agree to this, bottom line.

There is a song in Hamilton that the George Washington character sings called “one last time.” This is pre term limits. He essentially says he’s had enough time in power, time to pass it on not because he has to, because it’s the right thing to do. I have no clue if that’s actually why GW didn’t run again, but, wow, as a concept it’s a song that makes me cry every time because there are ZERO politicians that would make that call today.

Here’s to the beginning of new adventures! Just about 2 years ago I had the idea to sell our truck and travel trailer, and upgrade to a truck + truck camper, and also to use that as a launch for a side hustle - electric car charger installs, generator installs, and off grid RV solar consulting and installs. Well, the truck is HERE and we are going to pick up the truck camper this weekend. Truck is a Ford 550. Truck bed by CM.

The problem is they changed the rules. If you put less than 10% of the purchase price, regardless of equity, you pay the PMI for the whole 30 years unless you do a total refinance into a private mortgage versus FHA. If you put down more %, you now pay for 11 years. It’s nonsense and they totally did it to punish people who find good deals so they can put less $ down.

One thing I have talked about doing on the podcast is a “contract term of the day,” I just haven’t found the time. So…here it is. It’s going to be exclusively Nostr content for now. Today? “Time is of the Essence.” What does that mean? Well, generally a contract has timeframes and dates where each party has to perform, but if there are some circumstances beyond your control a little bit of schedule shift is probably ok. But what happens if it says “Time is of the Essence”? DUN DUN DUN
It means you better hit your deadlines, come hell or high water. It means dates are material components of the contract, and if you miss your dates, you are in breach of your contract. Now, what THAT means depends on what the termination language in your contract says…and a post for another day.
Just know that if you have “Time is of the Essence,” in your contract, you better hit your deadlines. #agoristattorney #agoristlaw

Agree, and what seems to be the best way to make it easier is a surrender of MORE privacy early on - things like Clear, Global Entry (for US), Nexus (Canada) TSA pre-check, mean you aren’t waiting in line, taking off shoes or emptying the contents of your bags. It all depends on where one is currently in their footprint - if you are largely off grid, private and secure, these aren’t going to be great options. If you came late to the game (me), the information they want on those applications are things that are already public and accessible about you, and providing the information isn’t really giving anything up.
It’s really difficult to balance and I would completely understand an individual choice to just not travel internationally or by air.
Domestically, the entire TSA process can be avoided by flying privately - maybe cost prohibitive but the idea of a “Freedom Airlines” is out there and is absolutely support them by using their service if it ever got off the ground.

#seattle travel tip - if you are going through #SeaTac and want to eat and have a break, the American Express #CenturionLounge has been recently remodeled and relocated into the central terminal.
The entrance is kind of tucked away, via an elevator in the main concourse. There is so much more seating, and good acoustic padding installed on the alcoves. Lots of seating reserved for parties of 3+, which will be great when I’m traveling with my boys (my tiny human loves a good lounge breakfast, he’s my spoiled travel baby).
Buffet items were the same - some egg things, biscuits and gravy, sausage, fruit, oatmeal. All the good earl grey tea I want. There are a few rooms for phone calls, but those are locked and apparently have to be opened by staff so I didn’t use those today.
Also happy to report, my new #Ariat boots did not set off the metal detector, so they can stay 😂
Next stop: Vancouver, Canada for a work conference.
